Abstract

The contemporary laws on business corporations and other acts of some international organizations which regulate this matter underline the importance of an efficient protection of minor stockholders. The reason for this is of a pragmatic nature - to enable the realization of the principle of equal treatment of all stockholders and to attract domestic and foreign investors. The law on business corporations in continental Europe traditionally offers several advantages to minor stockholders: the right to convene the stockholders’ assembly and the right to publish and amend its agenda, the right to appoint an independent auditor to review the financial activities of the assembly and the right to file a derivative complaint against unlawful actions of the managing bodies with the claim for rightful compensation. In addition, minor stockholders have a possibility to block the adoption of a particular decision by managing bodies. Under the influence of Anglo-Saxon practice, the legislation of continental Europe accepted an effective measure for additional protection of minor stockholders - the right to appeal to higher authority which is entitled to undertake all necessary measures, including bankruptcy or liquidation, to protect the interests of minor stockholders or an entire corporation in a particular case. Our law on business corporations follows this international practice and allows minor stockholders to file a legal suit for securing their interests. However, there are still numerous legal obstacles for practical realization of this right at court which prevent a more efficient protection of minor stockholders’ privileges.
